These Terms and Conditions apply to Studio Magic LLC’s website at studiomagic.io, client portal at clients.studiomagic.io, and services purchased through our booking pages, invoices, and payment links.
Studio Magic LLC is an independently operated digital design and consulting business based in Oklahoma City, Oklahoma. “Studio Magic,” “we,” and “our” refer to Studio Magic LLC.

1. Working with Studio Magic
Our services are intended for adults purchasing services for their businesses or organizations. When purchasing on behalf of an organization, you represent that you have authority to enter into the agreement.
Your booking description, proposal, scope of work, or invoice identifies the services you are purchasing. These Terms supplement those documents. Any expressly agreed project-specific exception must be recorded in writing.

These Terms and the applicable service details must be made available before payment. By completing a purchase after receiving those terms, you agree to the applicable scope, payment arrangements, and service conditions.

Project acceptance and right to decline

Studio Magic LLC is not obligated to accept a project simply because someone submits an inquiry, requests a proposal, or expresses interest in a service.

We reserve the right to decline new projects or additional work for any lawful reason, including availability, project fit, scope, budget, communication expectations, or requests outside our expertise.

An inquiry or preliminary discussion does not establish a commitment to provide services. Project acceptance is confirmed through the applicable booking or written project agreement.

If Studio Magic declines a booking for which payment has already been collected, that payment will be refunded in full. If we cancel an accepted engagement, the cancellation and refund provisions of these Terms apply.

This discretion is subject to applicable law, including nondiscrimination requirements, and does not override obligations under an existing agreement.

2. Scope of work
The Diagnostic and Tech Support may be purchased through online booking. Other engagements generally require a scope of work.

Only the deliverables identified in the agreed scope are included. Additional pages, features, integrations, content, revisions, or services must be discussed and approved before work begins.
Approved additions may be added to the final invoice or billed separately as agreed.

3. Payments
Unless your agreement provides otherwise, website projects require:

• A 50% initial payment before work begins.

• The remaining 50% before ownership is transferred.

Larger projects may be divided into phases, with payment due at the beginning of each phase.
For work performed within a website or account you already own and control, payment is due in full before work begins, or in full at the beginning of each agreed phase.
Payment plans are available only by agreement. When a website is being built in Studio Magic’s account, ownership transfer takes place after all agreed payments have been received.
Payments may be collected through Wix Payments, PayPal, invoices, booking checkout, or payment links, as offered for your engagement.

4. Cancellations and refunds
Client payments are nonrefundable, except where required by applicable law or expressly agreed otherwise in writing.

If Studio Magic cancels or cannot complete your engagement, Studio Magic will refund 100% of the payments you made to Studio Magic for that engagement.

Client-requested cancellation, failure to attend, or project abandonment is governed by the applicable provisions below. Nothing in these Terms limits rights or remedies that cannot lawfully be excluded.

5. Booking changes and missed appointments

The Diagnostic and Tech Support require at least 48 hours’ notice to reschedule.
Rescheduling requests made with less than 48 hours’ notice are not guaranteed and are subject to Studio Magic’s agreement.

If you do not attend a scheduled session, the booking is considered used. Studio Magic is not obligated to provide a replacement session or refund for a no-show, except where required by law.

6. Client participation and project timing
You are responsible for providing the information, materials, access, decisions, and feedback needed for your project.

Delivery dates depend on timely participation. Late content, missed meetings, delayed approvals, loss of account access, or a client-requested pause may change the project schedule.

Domain connections, platform processing, and third-party services can also affect launch timing. A scheduled build date does not guarantee that every third-party connection will be completed that day.

7. Project abandonment
If a project is waiting on your participation and you provide no communication for 30 consecutive days, Studio Magic may consider the project abandoned and close the active scope.

Studio Magic is not obligated to keep the original schedule available or resume an abandoned project automatically.

Reopening is at Studio Magic’s discretion and depends on availability and the condition of the project. A $500 reopening fee applies if reopening is agreed. The remaining scope, pricing, and schedule may also be revised.

8. Revisions and additional work
Revision allowances depend on the service and agreed scope.
A Day Build relies on Studio Magic’s creative direction within the agreed goals. It does not include advance wireframes, multiple design concepts, or a separate revision round unless expressly agreed.
Small text and image changes may be addressed during the transfer and connections session where time allows. Larger changes require an additional agreed scope and fee and may affect the launch date.
For other services, the proposal or scope identifies the included reviews and revisions.

9. Your content and AI-assisted work
You are responsible for the accuracy of business details, offers, claims, and other information you provide or approve. You must have permission to use supplied text, photographs, logos, and other materials.
Studio Magic may use AI-assisted tools to help develop or refine copy, imagery, and code. When you do not provide website content, AI-assisted copy may be developed from the business information you supply.
Your opportunity to review and request adjustments follows the purchased service’s revision terms. Services with a first revision round allow content and imagery review during that round. Day Builds follow their more limited review and adjustment process.

AI-generated and third-party materials may have separate licensing or ownership limitations. Studio Magic does not promise exclusive rights to material that cannot legally be owned or exclusively licensed.

10. Ownership and third-party materials
Ownership of a completed website built in Studio Magic’s account is transferred to your account after final payment.

The scope should identify any separate source files, documentation, or other deliverables to be provided. Transfer of a website does not transfer ownership of Wix, Base44, third-party software, fonts, stock assets, or other material governed by separate licenses.

Any retained rights in reusable Studio Magic materials must be identified in the project agreement.
You remain responsible for maintaining appropriate licenses and subscriptions after transfer.

11. Changes after handoff
Once you or your contributors begin editing the website or its settings, those changes can affect its appearance, functionality, integrations, and performance.

Studio Magic is not responsible for problems caused by changes made by you, other contributors, or third-party providers outside Studio Magic’s agreed work.

Receiving access alone does not waive your rights concerning the work Studio Magic delivered.

Troubleshooting or changes outside the original scope may require a new engagement.

12. Platform costs and ongoing services
Unless expressly included, you are responsible for hosting, domains, platform subscriptions, paid applications, stock licenses, and other third-party charges.

After transfer, Studio Magic is not responsible for service interruptions caused by your failure to renew or maintain those services.

Maintenance, monitoring, updates, and ongoing support are included only where expressly agreed.
Base44 application projects are scoped separately from website services. Applications built in a client-owned account are subject to that client’s platform arrangements; Studio Magic maintenance is not automatically included.

An application operated through Studio Magic’s account requires a separate written agreement covering ongoing fees, maintenance responsibilities, data access, and what happens when the arrangement ends. These website Terms do not establish those hosting or shutdown terms.

13. In-House engagements
In-House is available to clients Studio Magic has previously served.
Each arrangement has an agreed scope, term, payment schedule, and availability. Clients commit to the agreed term, and cancellation for convenience is not offered during that term, except where required by law or separately agreed in writing.

There is no obligation to renew after the agreed term ends. Any extension requires a further agreement.
The refund provision for Studio Magic’s cancellation or inability to complete an engagement continues to apply.

14. Diagnostic continuation credit
After completing a paid Diagnostic, you may apply a $300 credit toward a service engagement priced at $3,500 or more, provided it is booked within 30 days of the Diagnostic review.

Eligibility and application will be recorded in the new scope or invoice. The credit is not redeemable for cash and does not change the advertised starting price of a service.

The qualifying agreement must identify the booking requirement used to establish that the deadline has been met.

15. Portfolio use and confidentiality
Studio Magic may display public-facing completed work on its website, in email marketing, and on Wix Marketplace unless you request otherwise in writing.

You may email hello@studiomagic.io to request that your project not be displayed through those channels. Studio Magic will honor that request for future use and remove displays under its control where applicable. Emails already delivered cannot be recalled.

Private portals and their private content remain private and are not included in public portfolio or promotional material.

16. Project files
Studio Magic retains completed-project working files and related Zoom recordings for 30 days after project completion or ownership transfer, as applicable. After that period, those materials may be deleted.
Please obtain and retain your agreed deliverables and copies of materials you need. Studio Magic does not provide indefinite archival storage unless separately agreed.

Financial records, agreements, contact records, and information needed for ongoing services may be retained separately as described in the Privacy Policy.

17. Website and portal use
You may not misuse the website or client portal, attempt unauthorized access, interfere with their operation, upload unlawful or malicious material, or access another client’s information without authorization.

Keep your account credentials confidential and contact Studio Magic if you suspect unauthorized use.

18. Outcomes and external services
Studio Magic does not guarantee a particular search ranking, AI-search mention, sales volume, revenue, or other business outcome.

Third-party platforms control their own availability, features, pricing, and terms. Studio Magic cannot guarantee their uninterrupted operation.

These limitations do not excuse Studio Magic from delivering its agreed work or complying with applicable law.

19. Updates and contact
Updated Terms will display a revised effective date. Changes do not automatically rewrite an existing agreed project scope; material changes to an active engagement must be agreed as appropriate.
